Welcome to HandyTone.

These Terms of Service (“Terms”) govern your access to and use of the HandyTone website, online store, content, products, features, and related services (collectively, the “Services”).

The terms “HandyTone,” “we,” “us,” and “our” refer to Novaxia LLC, operating as HandyTone. Our online store is hosted by Shopify, which provides the e-commerce platform that allows us to offer our products and Services to you.

By visiting our website, creating an account, placing an order, or otherwise using the Services, you agree to these Terms and to the policies referenced in them, including our Privacy Policy, Shipping Policy, Refund Policy, and any other policies displayed on our website.

If you do not agree with these Terms, you must not access or use the Services.

Section 1 – Eligibility and Account Information

By using the Services, you confirm that you are at least the age of majority in your state, province, or country of residence, or that you have received permission from a parent or legal guardian.

You agree to provide current, complete, and accurate information when creating an account, placing an order, or communicating with us. This includes your name, billing information, payment information, email address, telephone number, and shipping address.

You are responsible for maintaining the confidentiality of your account credentials and for all activity performed through your account. You must notify us immediately if you suspect unauthorized access to your account.

You may not sell, transfer, assign, or otherwise provide your account to another person.

Section 2 – Products and Product Information

We make reasonable efforts to display our products, colors, finishes, dimensions, materials, accessories, and specifications as accurately as possible.

However, the appearance of a product may vary slightly due to:

• Screen and device settings.

• Lighting conditions in product photographs.

• Photography and image-processing methods.

• Natural material differences.

• Hand-finishing or manufacturing variations.

• Product updates or production-batch differences.

Handpans are musical instruments, and small differences in tone, resonance, sustain, finish, markings, or surface texture may occur between individual instruments. These reasonable differences are not necessarily defects.

Audio and video demonstrations are provided for illustrative purposes. The sound heard through a recording may vary depending on the recording equipment, speakers, headphones, environment, playing technique, and audio processing. We do not guarantee that an instrument will sound exactly the same as it does in an online recording.

All product descriptions, specifications, images, pricing, and availability may be changed or updated without notice. We reserve the right to discontinue any product at any time.

Section 3 – Orders and Acceptance

Submitting an order constitutes an offer to purchase the selected products under these Terms.

An order confirmation acknowledges that we received your order. It does not necessarily mean that the order has been finally accepted. We reserve the right to accept, refuse, limit, or cancel an order for legitimate reasons, including:

• Product unavailability.

• Pricing or product-information errors.

• Suspected fraud or unauthorized activity.

• Payment authorization problems.

• Incorrect or incomplete customer information.

• Shipping restrictions.

• Orders appearing to be placed for unauthorized resale.

• Violations of these Terms or our policies.

If we cancel an order after payment has been successfully collected, we will refund the applicable amount to the original payment method.

You are responsible for reviewing your order details before completing checkout. If you notice an error, contact us as quickly as possible. We cannot guarantee that an order can be changed or cancelled after processing has begun.

Products purchased through our store are intended primarily for personal use. You may not purchase our products for unauthorized resale or commercial distribution without our written permission.

Section 4 – Prices, Taxes and Payment

Prices are displayed in the currency selected or indicated on our website. Currency conversions displayed by Shopify or another provider may be approximate and may change based on exchange rates.

Prices, discounts, and promotions may be changed or withdrawn at any time. A change will not normally affect an order that has already been accepted, except where an obvious pricing error has occurred.

Unless specifically stated otherwise, displayed prices may not include:

• Shipping charges.

• Sales tax or other applicable taxes.

• Customs duties.

• Import taxes.

• Brokerage or handling fees.

• Foreign transaction or currency-conversion fees.

Applicable charges will be displayed during checkout when they can reasonably be calculated. Customers are responsible for customs duties, import taxes, or similar charges imposed by the destination country unless our website expressly states that these charges are included.

You agree to provide valid and accurate billing and payment information. By submitting payment details, you confirm that you are authorized to use the selected payment method and authorize us and our payment providers to charge the total order amount.

Payments are processed through Shopify and third-party payment providers. We do not control all aspects of their services and are not responsible for delays or failures caused solely by a payment provider.

Section 5 – Promotions and Discount Codes

Promotional offers and discount codes may be subject to additional conditions, including expiration dates, minimum purchase amounts, excluded products, and usage limits.

Unless otherwise stated:

• Discount codes cannot be combined.

• Discounts cannot be applied after an order has been completed.

• Discount codes have no cash value.

• Promotions may be changed or discontinued at any time.

• Discounts apply only during the advertised promotional period.

We may cancel or refuse a promotion when we reasonably believe it has been used fraudulently, improperly, or contrary to its conditions.

Section 6 – Shipping and Delivery

Orders are shipped according to our Shipping Policy.

Processing, shipping, and delivery dates are estimates rather than guarantees. Delivery may be affected by circumstances outside our reasonable control, including carrier delays, customs inspections, weather conditions, public holidays, strikes, supply interruptions, natural events, and inaccurate delivery information.

You are responsible for providing a complete and accurate shipping address. We are not responsible for delays, failed deliveries, or additional expenses caused by incorrect or incomplete information supplied by the customer.

You must inspect your package shortly after delivery. If your order arrives damaged, incomplete, or incorrect, contact us within the period specified in our Shipping Policy or Refund Policy and provide clear photographs or videos of:

• The external packaging.

• The shipping label.

• The internal packaging.

• The product and the reported damage or problem.

Do not discard the original packaging until your claim has been reviewed.

Questions concerning lost, delayed, or damaged shipments should be sent to our customer-support team.

Nothing in this section limits any mandatory consumer rights applicable in your jurisdiction.

Section 7 – Returns, Refunds and Exchanges

Returns, refunds, exchanges, cancellations, and damaged-item claims are governed by our Refund Policy.

You must follow the instructions in that policy before returning a product. Sending a product back without prior authorization does not guarantee that the return will be accepted.

Returned products must satisfy the eligibility conditions stated in our Refund Policy. You may be responsible for return shipping costs unless the product was defective, damaged upon arrival, incorrect, or applicable law provides otherwise.

Original shipping charges, customs duties, import taxes, expedited-shipping fees, and return expenses may be non-refundable unless otherwise required by law or stated in our policies.

Section 8 – Instrument Care and Customer Responsibility

Handpans require appropriate handling and storage. You agree to follow the care instructions supplied with the product or published on our website.

Damage caused by the following may not qualify as a manufacturing defect:

• Dropping, striking, crushing, or mishandling the instrument.

• Playing with hard objects, sticks, mallets, rings, or accessories not designed for the instrument.

• Exposure to water, excessive humidity, salt air, extreme heat, freezing conditions, or rapid temperature changes.

• Improper storage or transportation.

• Failure to dry, clean, or maintain the instrument appropriately.

• Unauthorized repairs, tuning, alterations, or modifications.

• Normal wear, cosmetic changes, scratches, oxidation, or deterioration caused by use or environmental conditions.

Customers are responsible for determining whether a product is appropriate for their individual needs and intended use.

Section 9 – Intellectual Property

All content made available through the Services—including text, photographs, videos, audio recordings, graphics, logos, icons, product names, designs, page layouts, downloadable materials, and branding—is owned by or licensed to Novaxia LLC and is protected by applicable intellectual-property laws.

You may access and use the Services only for personal, non-commercial purposes.

Without our prior written authorization, you may not:

• Copy, reproduce, modify, republish, or distribute our content.

• Use our photographs, videos, descriptions, or audio recordings for commercial purposes.

• Use HandyTone branding, logos, or product materials in a way that suggests affiliation or endorsement.

• Scrape, extract, or systematically collect website content.

• Create derivative works based on protected content.

• Resell or commercially exploit access to the Services.

Section 10 – Reviews, Feedback and User Content

If you submit a review, photograph, video, comment, suggestion, idea, or other content (“User Content”), you confirm that:

• You own or have permission to submit the content.

• The content is accurate and does not mislead others.

• The content does not violate another person’s intellectual-property, privacy, publicity, or other legal rights.

• The content is not illegal, abusive, defamatory, fraudulent, obscene, or malicious.

• The content does not contain harmful software or unauthorized advertising.

You grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable right to host, reproduce, adapt, publish, display, distribute, and use your User Content in connection with our Services, customer support, and marketing, subject to applicable law.

We may remove User Content that violates these Terms or is otherwise inappropriate, but we are not required to monitor all submissions.

Section 11 – Optional Third-Party Tools

We may provide access to tools or services operated by third parties. These services are provided subject to the third party’s own terms and policies.

We do not control these tools and provide access to them “as available” without endorsing or guaranteeing their performance.

Your use of third-party tools is voluntary and at your own risk. You should review the relevant provider’s terms and privacy practices before using them.

Section 12 – Third-Party Links

The Services may contain links to websites, applications, social media platforms, payment providers, or other services operated by third parties.

We are not responsible for the content, availability, accuracy, security, products, policies, or practices of third-party services. Your use of a third-party service is governed by that third party’s terms.

Section 13 – Relationship With Shopify

Our store is hosted by Shopify. Shopify provides the e-commerce infrastructure used to deliver the Services.

However, purchases made through our store are transactions between you and Novaxia LLC, operating as HandyTone. Shopify is not the seller of our products and is not responsible for our products, order fulfillment, returns, refunds, customer support, or representations.

You agree that, to the maximum extent permitted by law, Shopify and its affiliates are not responsible for claims arising from a transaction between you and HandyTone.

Section 14 – Privacy

Our collection, use, and disclosure of personal information are governed by our Privacy Policy.

Because our store is hosted by Shopify, Shopify may also collect and process information relating to your use of the Services in accordance with its own privacy policy.

Section 15 – Errors and Inaccuracies

Occasionally, our website may contain typographical errors, inaccuracies, or omissions relating to product information, prices, promotions, shipping charges, delivery times, or availability.

We reserve the right to correct errors, update information, or cancel affected orders at any time, including after an order has been submitted.

If an order is cancelled because of an error after payment, the applicable amount will be refunded to the original payment method.

Section 16 – Prohibited Uses

You may not use the Services:

• For an unlawful, fraudulent, abusive, or malicious purpose.

• To violate applicable laws or regulations.

• To infringe our rights or the rights of another person.

• To submit false, misleading, defamatory, threatening, or harmful information.

We do not guarantee that:

• Access to the Services will always be uninterrupted, timely, secure, or error-free.

• Website information will always be complete or current.

• Technical errors will always be corrected immediately.

• The results obtained through the Services will meet every individual expectation.

Products remain subject to any express warranty provided on our website and to any mandatory warranties or consumer protections required by applicable law.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

Section 19 – Limitation of Liability

To the maximum extent permitted by law, Novaxia LLC, HandyTone, and their members, managers, officers, employees, affiliates, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost data, replacement costs, or loss of opportunity arising from:

• Your use of or inability to use the Services.

• Your purchase, use, storage, transportation, or maintenance of a product.

• Delays or events outside our reasonable control.

• Third-party websites, tools, carriers, or service providers.

• Unauthorized access to or alteration of your information.

Where liability cannot legally be excluded, our total liability will be limited to the greater of the amount you paid for the product or Service giving rise to the claim or the minimum amount required by applicable law.

Some jurisdictions do not permit certain liability exclusions or limitations. In those jurisdictions, these provisions apply only to the extent permitted by law.

Section 20 – Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Novaxia LLC, HandyTone, Shopify, and their respective affiliates, officers, directors, members, employees, agents, contractors, licensors, and service providers from claims, liabilities, damages, losses, and reasonable legal expenses arising from:

• Your material violation of these Terms.

• Your unlawful or improper use of the Services.

• Your violation of another person’s rights.

• User Content submitted by you.

• Fraudulent or unauthorized activity conducted through your account.

This provision does not apply to the extent a claim results from our own negligence, willful misconduct, or violation of applicable law.

Section 21 – Events Beyond Our Control

We will not be responsible for a delay or failure to perform caused by events beyond our reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, government actions, epidemics, labor disputes, supply-chain interruptions, customs delays, carrier disruptions, power failures, or internet outages.

We will make reasonable efforts to reduce the effects of such events and resume performance when practical.

Section 22 – Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or removed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

Section 23 – Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.

Any waiver must be expressly made in writing by an authorized representative of Novaxia LLC.

Section 24 – Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and other policies referenced on our website, constitute the entire agreement between you and us concerning the Services.

They replace prior or contemporaneous communications and agreements concerning the same subject matter.

Section 25 – Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, corporate restructuring, or similar business transaction, subject to applicable law.

Section 26 – Governing Law

These Terms and any separate agreement through which we provide Services will be governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law principles.

This provision does not deprive consumers of mandatory protections available under the laws of their country, state, or province of residence.

Section 27 – Changes to These Terms

We may update these Terms to reflect changes to our Services, products, business practices, or legal obligations.

The revised Terms will be published on this page with an updated “Last updated” date. Unless otherwise stated, changes become effective when posted.

Your continued use of the Services after the revised Terms take effect constitutes acceptance of the updated Terms, to the extent permitted by law.
